1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member," "you," or "your") and Group Legion ("Company," "we," "us," or "our"), governing your access to and use of the Da Nang Social mobile application and related services (collectively, the "Service").
By creating an account, submitting an application for membership, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
Important: Da Nang Social is an invitation-only private social club. Acceptance of these Terms alone does not guarantee membership. All prospective members must be approved through our application process.
2. Eligibility & Membership
2.1 Age Requirement
You must be at least eighteen (18) years of age to apply for membership and use the Service. By applying, you represent and warrant that you are at least 18 years old. We reserve the right to request verification of your age at any time and to terminate your membership if you are found to be under 18.
2.2 Application & Approval
Da Nang Social operates as a private, invitation-only social club. Membership is subject to our sole discretion and requires completion of an application process. We reserve the right to accept or deny any application without providing a reason. An application does not guarantee admission.
2.3 Invitation Requirements
Access to the application process may require an invitation or referral from an existing member. We may modify the invitation and application process at any time without prior notice.
2.4 Accurate Information
You agree to provide truthful, accurate, and complete information during the application process and to keep your profile information current. Providing false or misleading information is grounds for immediate denial of application or revocation of membership.
3. Account Registration & Security
When you create an account with Da Nang Social, you agree to:
- Provide accurate and complete registration information
- Maintain the confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- Not share, transfer, or sell your account to any third party
Each membership is personal and non-transferable. You may only maintain one account. We reserve the right to disable any account at our discretion, including if we reasonably believe you have violated these Terms.
4. Membership Conduct & Community Standards
Da Nang Social is built on mutual respect, trust, and a shared commitment to quality social experiences. As a member, you agree to uphold the following standards:
4.1 Expected Conduct
- Treat all members, event organizers, and staff with respect and courtesy
- Engage authentically and in good faith with the community
- Respect the privacy of other members both within and outside the app
- Follow all posted rules and guidelines for events and activities
- Represent yourself honestly in all interactions
4.2 Prohibited Conduct
The following behaviors are strictly prohibited and may result in immediate membership revocation:
- Harassment or abuse: Any form of bullying, intimidation, threats, hate speech, or discriminatory behavior directed at any member or individual
- Fraud or misrepresentation: Providing false information, impersonating others, or engaging in deceptive practices
- Spam or solicitation: Unsolicited commercial messages, pyramid schemes, or aggressive self-promotion without prior approval
- Illegal activity: Using the Service in connection with any unlawful activity or in violation of any applicable local, national, or international law
- Safety violations: Behavior that endangers the health or safety of any member or the public at events or activities
- System abuse: Attempting to exploit, hack, reverse-engineer, or interfere with the proper functioning of the Service
- Confidentiality breaches: Sharing private member information, screenshots of private conversations, or event details outside the community without consent
- Disruptive behavior: Repeatedly disrupting events, conversations, or the general experience of other members
4.3 Enforcement
We reserve the right to investigate any reported violations and to take action at our sole discretion, including but not limited to issuing warnings, temporarily suspending access, or permanently revoking membership. Decisions regarding enforcement are final.
5. Events & Activities
5.1 Event Organization
Da Nang Social facilitates curated events and activities for its members. Events may be organized by the Company, by designated event organizers, or by members with appropriate permissions. Event details, including dates, locations, and any associated requirements, will be communicated through the Service.
5.2 Event Fees
While Da Nang Social is free to use, individual events may carry separate fees or costs. These fees are set and managed by the respective event organizers. Any financial transactions related to event fees are between you and the event organizer. The Company is not responsible for collecting, refunding, or disputing event-related payments unless explicitly stated otherwise.
5.3 Attendance & Cancellations
When you RSVP or register for an event, you are making a commitment to attend. Repeated no-shows or last-minute cancellations may affect your standing within the community, including your points and streaks. Specific cancellation policies may apply to individual events and will be communicated at the time of registration.
5.4 Assumption of Risk
Participation in events and activities is voluntary and at your own risk. The Company does not guarantee the safety, quality, or suitability of any event. You acknowledge that social events may carry inherent risks and agree to exercise your own judgment when deciding to participate.
6. Points, Streaks & Rewards
6.1 Points System
Da Nang Social may offer a points-based system to encourage active and positive participation within the community. Points may be earned through event attendance, community engagement, and other qualifying activities as determined by the Company.
6.2 Streaks
Members may build streaks by maintaining consistent engagement with the community over defined time periods. The specific criteria for maintaining streaks will be communicated within the Service.
6.3 No Monetary Value
Points, streaks, and any associated rewards have no cash value and cannot be transferred, sold, or exchanged for currency. The Company reserves the right to modify, suspend, or discontinue the points and streaks system at any time, and to adjust any member's points balance if earned through error, fraud, or violation of these Terms.
7. User Content & Intellectual Property
7.1 Your Content
You retain ownership of any content you submit, upload, or display through the Service, including but not limited to profile information, photographs, and event-related content ("User Content"). By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Service and the Da Nang Social community.
7.2 Community Sharing
You acknowledge and agree that User Content, including photographs and profile information, may be visible to and shared within the Da Nang Social community. Event photos and related content may be used for community highlights, recaps, and promotional purposes within the Service.
7.3 Content Responsibility
You are solely responsible for all User Content you submit. You represent and warrant that:
- You own or have the necessary rights and permissions to submit and license the User Content
- Your User Content does not infringe upon any third party's intellectual property, privacy, or other rights
- Your User Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material
7.4 Company Intellectual Property
The Service, including its design, branding, features, and all related intellectual property, is owned by Group Legion and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.
7.5 Content Removal
We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms, is objectionable, or is otherwise harmful to the community or the Service.
8. Privacy & Data
Your privacy matters to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
Key points regarding your data:
- We collect information you provide during the application and registration process
- We may collect usage data, device information, and location data to improve the Service
- Your profile information is visible to other approved members of the community
- We do not sell your personal information to third parties
- We implement reasonable security measures to protect your data, but no system is completely secure
9. Fees & Payments
The Da Nang Social app is currently free to download and use. There are no membership fees or subscription charges for accessing the Service.
We reserve the right to introduce paid features, membership tiers, or subscription plans in the future. If we do, we will provide reasonable notice and any new fees will only apply prospectively. Continued use of paid features after fee changes take effect constitutes your acceptance of those fees.
As noted in Section 5.2, individual events may carry separate fees managed by their respective organizers. The Company is not a party to those financial transactions unless explicitly stated.
10. Termination & Suspension
10.1 Termination by You
You may terminate your membership at any time by contacting us at contact@grouplegion.com or through the account settings within the app. Upon termination, your access to the Service will be revoked and your profile will be removed from the community.
10.2 Termination by Us
We may suspend or permanently revoke your membership at any time and for any reason, including but not limited to:
- Violation of these Terms or community standards
- Misconduct at events or within the community
- Conduct that is harmful, threatening, or disruptive to other members
- Prolonged inactivity
- Any reason we deem necessary to protect the integrity of the community
10.3 Effects of Termination
Upon termination or suspension of your membership:
- Your access to the Service will be immediately revoked
- Your accumulated points and streaks will be forfeited
- Your profile and User Content may be removed from the community
- You will not be entitled to any refund or compensation
- Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification
11. Disclaimers & Limitation of Liability
11.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.2 No Guarantees
We do not guarantee that:
- The Service will be available at all times or without interruption
- The Service will be free of errors, bugs, or security vulnerabilities
- Any content or information obtained through the Service will be accurate or reliable
- Events will meet your expectations or be of any particular quality
- Interactions with other members will be positive or safe
11.3 Limitation of Liability
To the maximum extent permitted by applicable law, Group Legion and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the amount you have paid to the Company in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD $50), whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless Group Legion, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your User Content
- Your conduct at events or interactions with other members
- Your violation of any law or the rights of any third party
13. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the Service, via email, or by other reasonable means. The "Last Updated" date at the top of these Terms will be revised accordingly.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you should discontinue use of the Service and contact us to terminate your membership.
14. Governing Law & Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law principles.
14.2 Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at contact@grouplegion.com. We will endeavor to resolve disputes amicably within thirty (30) days of receiving notice.
If the dispute cannot be resolved informally, it shall be submitted to the competent courts in Da Nang, Vietnam for resolution. You agree to submit to the personal jurisdiction of such courts.
14.3 Waiver of Class Actions
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.
